Conditions of Sale

These Terms & Conditions apply to pre-orders and sales of Universal Genève watches, and accessories (the “Products”). By placing a pre-order for a Product, the customer (“you”) agrees to be bound by these Terms & Conditions.

1. Who we are. We are HOB House of Brands South East Asia Pte. Ltd (“UG”), a company incorporated in Singapore with its registered address at 11 Bishan Street 21, #03-03B Bosch Building, Singapore 573943. You may contact us at contact@universalgeneve.com.

    

2. Pre-Orders. UG may make available some Products for pre-order, in particular Products that have not been manufactured yet or are not yet available for sale. The following terms will apply to pre-orders, deposits and/or down payments: 
   1. To pre-order a Product you will be required to pay a deposit (the “Deposit”). The amount of the Deposit will be specified by UG and will be payable in Singapore Dollars (SGD) only and subject to applicable Goods and Services Tax (GST). Except as expressly set out in these Terms & Conditions, the Deposit is non-refundable.
   2. By placing a pre-order for a Product and paying the Deposit, you (i) reserve a Product and your place in UG’s production schedule, and (ii) commit to purchasing the Product, subject to any cancellation rights expressly set out in these Terms & Conditions.
   3. UG aims to make available pre-ordered Products for sale and collection within a maximum of 12 months from the date of the pre-order depending on the Product Collection and will regularly update you about the status of your pre-ordered Product. 
   4. When the pre-ordered Product becomes available for sale to you, UG will contact you by email or phone and arrange for the Product to be made available for sale to you at a designated retail location in Singapore (the “Designated Location”). UG may, at its sole discretion, arrange for delivery of the Product to an address you have provided or designate a different retail location in Singapore for the sale and collection of the Product. You will be required to collect the Product at the Designated Location (or such other location as UG may designate) and the sale will occur at such location, unless UG arranges for delivery to you.
   5. The price you will be required to pay for the sale will be UG’s public recommended retail price for the Product in Singapore applicable at the time the Product is made available for sale to you, minus the amount of the Deposit you paid. Full payment of such price will be required before you collect the Product or, before the Product is shipped, in the event UG agrees to deliver the Product to an address you have provided.
   6. If the price determined in accordance with section 2.5 is higher than any price estimate or indication that may have been shown to you at the time you placed the pre-order, UG will notify you of the final price before the sale. You may cancel your pre-order within fourteen (14) days of that notice and receive a refund of the Deposit to the original payment method. If you do not confirm that you wish to proceed within that fourteen (14) day period, UG may treat the pre-order as cancelled and will refund the Deposit accordingly.
   7. If either (i) UG agrees to deliver the Product to an address you have provided and you fail to pay the remaining balance of the purchase price within 30 days from UG requesting such payment, or if (ii) UG informs you that the Product is ready for collection and you fail to pay the remaining balance of the purchase price and collect the Product within 180 days from the date UG communicates to you that the Product is available for collection, then in either of these cases UG may cancel the sale upon giving you fourteen (14) days’ prior written notice. In such case, UG may retain up to the amount of the Deposit as compensation for the reservation of the Product and UG’s administrative and holding costs.
   8. Products available for pre-order may only be available in limited quantities and for a limited time. You acknowledge that UG may cancel a pre-order prior to the sale of the Product, in particular if UG is unable to fulfil the pre-order due to lack of availability, supply constraints, regulatory requirements or other issues beyond its reasonable control. UG will notify you in writing as soon as reasonably practicable after deciding to cancel.
   9. You may cancel your pre-order if UG does not make the pre-ordered Product available to you for sale at the designated retail location in Singapore within 12 months from the date of your pre-order.
   10. If the pre-order is cancelled by UG, or by you in accordance with section 2.9 of these terms and conditions, or by you following notification of an increase in the final price as described above in Section 2.6, UG will refund your Deposit to the original payment method within 30 days from the date of cancellation.
   11. Save as required by applicable law, UG will owe no compensation and will bear no liability as a result of or in connection with any cancellation of a pre-order.

   12. You acknowledge and accept that the entity responsible for concluding the sale and making the Product available for collection may be an affiliate of UG.

        

3. Sale

   1. Payment. Payment of the full price of the Product (minus any non-refundable deposit already paid), including all applicable taxes and any shipping or service charges, is required at the time of the sale. Your purchase will only be deemed accepted upon successful completion of the payment process and confirmation from UG.
   2. Pay by Link. If you are offered the option to pay by link, you will receive a payment link to complete your purchase. The Pay by Link option is provided by Adyen, our appointed payment service provider. By clicking the link, you will be redirected to a payment page where you may finalize your purchase using any of the available payment methods. You may be required to accept Terms & Conditions of Sale and review our Privacy Policy before completing payment. 
   3. Sale completion. (a) Where you pay for and collect the Product in store, the sale is complete in-store upon receipt of full payment and your collection of the Product. (b) Where UG agrees to ship the Product to an address you have provided, the sale is complete upon receipt of full payment and UG handing over the Product to the carrier for shipping to the address you have provided. Save that this does not affect your statutory rights, including your rights under the Consumer Protection (Fair Trading) Act (Cap. 52A) in relation to goods that are not of satisfactory quality, not fit for purpose or not as described.
   4. Passage of Risk. (a) Where you pay for and collect the Product in store, risk of loss or damage passes to you at the point of collection. (b) Where UG agrees to ship the Product to an address you have provided, risk of loss or damage passes to you upon delivery of the Product to your address. Until the applicable point of risk transfer, the Product remains at UG’s risk. If the Product is damaged or defective upon receipt, you must notify us in writing without undue delay.
   5. Personalization. Where engraving or other personalization is requested, you are responsible for ensuring that all specifications and details are complete and accurate at the time such engraving or personalization is ordered. Once confirmed, changes may not be possible.
   6. Returns & Exchanges. Subject to your statutory rights, we do not offer refunds, credits or exchanges for change of mind or other reasons except as specified in these Terms and Conditions of Sale. This does not affect your rights under the Consumer Protection (Fair Trading) Act (Cap. 52A) or any other applicable law of Singapore in relation to goods that are not of satisfactory quality, not fit for purpose or not as described.

    

4. Warranty. Universal Genève Products are covered by the Universal Genève International Warranty, which covers manufacturing defects for a period of two (2) years from the date of the sale. The terms of the Universal Genève International Warranty will be made available at the moment of the sale or at www.universalgeneve.com. The warranty does not cover any routine servicing, theft, loss, usual wear and tear or ageing, damages resulting from mishandling (e.g. shock or drop), improper use, tampering and water resistance issues. This warranty is in addition to, and does not affect, your statutory rights under the Consumer Protection (Fair Trading) Act (Cap. 52A) or any other applicable law of Singapore.

    

5. Product-Specific Terms. Certain Products may be subject to additional terms and usage instructions, including safety and maintenance guidelines. These will be made available at the point of sale, on the www.universalgeneve.com website or in the user manual or documentation provided with the Product. You are responsible for reviewing such materials before use. 

    

6. Privacy Policy. Your personal data will be processed in accordance with the Personal Data Protection Act 2012 (No. 26 of 2012) of Singapore and our Privacy Policy, available at: https://www.universalgeneve.com/privacy-policy.

    

7. Limitation of Liability. Nothing in these Terms & Conditions of Sale shall exclude or limit our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any matter for which it would be unlawful under the laws of Singapore to exclude or limit our liability. Subject to the foregoing, and to the maximum extent permitted by the laws of Singapore, our total aggregate liability to you arising out of or in connection with any particular purchase, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total amount actually paid by you for that purchase. You also acknowledge and agree that the Products are supplied for domestic and personal use only. Accordingly, we shall not be liable for any loss of profit, loss of revenue, loss of anticipated savings, loss of opportunity, loss of business, or any indirect or consequential loss arising from the use of the Products for any commercial, business, or resale purposes. Nothing in these Terms & Conditions shall affect your statutory rights as a consumer under the laws of Singapore.

    

8. Indemnity. To the extent permitted by applicable law, you agree to indemnify UG, its affiliates, respective officers, employees, and representatives from and against any losses, damages, liabilities, costs, or expenses arising from any fraud or willful breach by you of these Terms & Conditions of Sale or any willful misuse of the Product, save that this clause shall not apply to the extent that such losses arise from UG’s own negligence or default.

    

9. Governing Law and Dispute Resolution. These Terms & Conditions of Sale shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of Singapore. For claims within the jurisdiction of the Small Claims Tribunals of Singapore, either party may refer the dispute to the Small Claims Tribunals. Nothing in this clause shall limit your right to commence proceedings in any court of competent jurisdiction.

10. Severability. If any provision of these Terms & Conditions of Sale is held by a court or other competent authority to be invalid, unlawful or unenforceable to any extent, such provision shall, to that extent only, be severed from the remaining provisions, which shall continue in full force and effect to the maximum extent permitted by law.
